Inlay End User License Agreement

Effective date: 5 November 2026

This agreement is between you and Lee Davis, an individual doing business as Inlay ("Inlay", "we", "us"). It covers your use of the Inlay assistant, including inside another company's product and through services you connect to it, such as QuickBooks Online. By using Inlay you accept this agreement. If you use Inlay for a business, you accept it for that business too, and confirm that you are allowed to.

1. What Inlay is

Inlay is an AI assistant. It answers questions, reads the data you give it access to, runs analyses, and makes charts, spreadsheets and reports. It can also run tasks you schedule.

You usually reach Inlay through another company's product, the vendor. The vendor decides which features you have. Your agreement with the vendor also applies to that product.

This agreement covers Inlay as we provide it. Where a vendor provides Inlay to you under its own agreement with us, that vendor's terms apply instead.

2. Your licence

We give you a personal, non-exclusive, non-transferable, revocable licence to use Inlay for your own or your business's internal purposes, under this agreement. We keep all rights in Inlay that this agreement does not give you.

3. Using Inlay properly

You agree not to:

4. AI answers can be wrong

Inlay's answers are written by AI models and can be incomplete or wrong, even when they sound sure. Check important figures before you rely on them. Inlay does not give accounting, tax, legal or financial advice, and its answers are not a substitute for a professional's.

5. Your content and data

6. Services you connect

When you connect another service, such as QuickBooks Online, you authorise Inlay to access it for you, within the permissions you grant. That service's own terms still apply to your use of it. We are not responsible for other services, and they are not responsible for Inlay. Intuit Inc. is not a party to this agreement and does not provide support for Inlay. You can disconnect a service at any time.

7. Fees

Inlay is provided to you at no charge unless the vendor or we tell you otherwise.

8. Suspending and ending access

You can stop using Inlay at any time. We may suspend or end your access if you break this agreement, if the vendor stops offering Inlay, or if we must for legal or security reasons. Sections 4, 5, 9, 10, 11 and 12 continue after access ends.

9. No warranty

Inlay is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that Inlay will be uninterrupted, error-free or secure.

10. Limit of liability

To the extent the law allows:

11. Indemnity

You will defend and compensate us for claims by others that arise from data you connected or uploaded without the right to, or from your breach of this agreement.

12. Law and disputes

The laws of the State of Delaware govern this agreement, without regard to its conflict-of-law rules. Any dispute goes to the state or federal courts located in Delaware.

13. Changes

We may change this agreement. We will post the new version here with a new effective date, and tell you in the assistant or through the vendor when a change is significant. Using Inlay after a change means you accept it.

14. Everything else

This agreement and the privacy policy are the whole agreement between you and us about Inlay. If a part of it cannot be enforced, the rest still applies. You may not transfer this agreement; we may transfer it to a company that takes over Inlay.
